Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and [Legal name / trading name], a sole trader (OSVČ) established in the Czech Republic (IČO: [IČO] · registered seat: [Registered address], Czech Republic), contact jacob@sproduction.cz (“we”, “us”, “our”), governing your use of the Notifind application and related services (the “Service”).
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. What Notifind is
Notifind is a productivity and communication app that lets you:
- create and organise notes (a block-based editor with folders and tables),
- keep a calendar of events,
- exchange direct (1:1) and group messages, and
- connect with other users you add by username or by a link you share.
Notifind has no public feed, no public profiles, and no discovery algorithm. You choose who you connect with.
Notifind is provided only as a downloadable application distributed through app stores — currently the Apple App Store, with Google Play planned later. It is not a web application; our only website is an informational landing page. Your download and use of the app is also subject to the terms and usage rules of the app store you obtained it from.
2. Eligibility and age requirement
You must be at least 16 years old to create an account or use the Service. By using Notifind, you confirm that you are 16 or older and that you are legally able to enter into these Terms. If you are using the Service on behalf of an organisation, you confirm you are authorised to bind it to these Terms.
3. Your account
- You must provide accurate information and keep it up to date.
- You are responsible for keeping your password confidential and for all activity under your account.
- Notify us promptly at jacob@sproduction.cz if you suspect any unauthorised use of your account.
- One person or entity per account; do not share your login or impersonate anyone else.
4. Acceptable use
You agree not to use Notifind to:
- harass, bully, threaten, stalk, defame, or impersonate any person;
- upload, send, or share content that is illegal, hateful, violent, sexually exploitative (especially involving minors), harassing, or infringing on others’ intellectual-property or privacy rights;
- send spam, chain messages, or unsolicited promotional content;
- distribute malware, or attempt to gain unauthorised access to the Service, other users’ accounts, or our systems;
- scrape, crawl, reverse-engineer, decompile, or otherwise attempt to extract source code or data from the Service, except to the extent this restriction is prohibited by applicable law;
- interfere with, overload, or disrupt the Service or its infrastructure; or
- use the Service to break any applicable law or regulation.
Violating this section may lead to content removal, suspension, or termination (see sections 6 and 10).
5. Your content and licence to us
You own the content you create in Notifind — your notes, messages, profile information, and any files you upload (“Your Content”). We do not claim ownership of it.
To operate the Service, you grant us a limited, non-exclusive, worldwide, royalty-free licence to host, store, back up, reproduce, and display Your Content — solely to provide and secure the Service for you and the people you choose to share it with. This licence exists only so we can technically run the app (for example, store your notes and deliver your messages). It ends when you delete Your Content or your account, except for copies retained in backups for the limited period described in our Privacy Policy, and except for content you have already shared with other users.
You represent that you have the necessary rights to Your Content and that it does not violate section 4 or infringe anyone’s rights. You are solely responsible for Your Content.
6. Content moderation, reporting, and removal
Notifind is designed for private communication, and we do not monitor the content of your notes or messages as a matter of course. However:
- We provide tools to report abusive content or users and to block other users. If you encounter content or behaviour that violates these Terms, please use those tools or contact jacob@sproduction.cz.
- We reserve the right — but do not assume the obligation — to review, remove, or disable access to any content, and to suspend or terminate any account, that we reasonably believe violates these Terms, is abusive or illegal, or exposes us or our users to liability.
- Where content is unlawful, we will act on valid reports and, where appropriate, remove or disable the content and may notify the affected users, consistent with applicable law.
We aim to review credible reports of objectionable content promptly (and, for App Store distribution, within the timeframes Apple requires).
7. Interactions with other users
Notifind lets you communicate with other people. You are responsible for your interactions with other users, and we are not responsible for the conduct or content of any user. Because messages and shared notes are delivered to the people you choose, please share thoughtfully. If a dispute arises between you and another user, you release us from any claims arising out of that dispute to the extent permitted by law.
8. Notifind Pro subscription, payments, and cancellation
The app is free to download. Some features may require Notifind Pro, an optional paid subscription.
- Price: currently $3.99 per month (or the equivalent shown in your local currency in the App Store), billed on a recurring monthly basis.
- Billing: the subscription is sold and billed through the app store from which you downloaded Notifind — currently the Apple App Store — using the payment method on your store account. Apple is the seller/merchant of record and processes your payment; we do not receive or store your payment-card details.
- Auto-renewal: the subscription renews automatically for successive monthly periods unless you cancel at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the period ends.
- Managing and cancelling: you can manage or cancel at any time in your App Store account settings. Cancelling stops future renewals; it does not, by itself, refund the current period.
- Refunds are handled by Apple under Apple’s refund policies, in addition to any mandatory statutory rights you have (see section 9).
- Price and feature changes: we may change the price or the set of free vs. Pro features. We will give you advance notice of any price increase to an existing subscription, and where the law requires it, your consent or an opportunity to cancel before the new price applies.
Note (Android): if Notifind is later offered on Google Play, subscriptions purchased there will be billed by Google under Google’s terms, and this section will be updated.
9. Consumer rights (EU) and right of withdrawal
If you are a consumer in the EU, you have mandatory rights that these Terms do not limit, including under the Czech Civil Code (Act No. 89/2012 Coll.) and the Consumer Protection Act (Act No. 634/1992 Coll.):
- 14-day right of withdrawal: you generally have 14 days to withdraw from a distance contract for a paid digital service. However, by starting a subscription you can ask for the service to begin immediately; if you expressly consent to immediate performance and acknowledge that you thereby lose the right of withdrawal once the service has been fully performed, the statutory exception applies. Note that where the purchase is made through the Apple App Store, Apple’s own cancellation and refund process typically applies.
- Out-of-court dispute resolution: you have the right to resolve consumer disputes out of court. In the Czech Republic, the competent body is the Czech Trade Inspection Authority (Česká obchodní inspekce, www.coi.cz).
Nothing in these Terms removes rights that consumer-protection law gives you and that cannot be waived.
10. Suspension and termination
- By you: you can stop using the Service and delete your account at any time via Settings → Delete Account, which permanently deletes your account and data (see the Privacy Policy).
- By us: we may suspend or terminate your access if you materially or repeatedly breach these Terms, if required by law, or to protect the Service or its users. Where reasonable and lawful, we will give you notice and, for less serious issues, a chance to fix the problem.
- Effect: on termination, your right to use the Service ends. Sections that by their nature should survive (e.g. content licence limitations, disclaimers, liability limits, and governing law) will survive.
11. Third-party services
Notifind relies on third-party providers (including Supabase for hosting and data storage, and Apple for distribution and payments). Your use of the Service may also be subject to those providers’ terms. We are not responsible for third-party services we do not control.
12. Intellectual property
The Notifind app, its name, logo, design, and software are owned by us or our licensors and are protected by intellectual-property laws. These Terms do not grant you any right to our trademarks or to copy, modify, or create derivative works of the app, except as allowed by law or the app-store licence under which you obtained it.
13. Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, secure, or that it will meet your requirements, or that data will never be lost.
This section does not exclude or limit any warranty or right that cannot be excluded or limited under the mandatory law that applies to you as a consumer.
14. Limitation of liability
To the fullest extent permitted by law:
- We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business, arising from your use of (or inability to use) the Service.
- Our total aggregate liability for any claim relating to the Service is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) EUR 50.
Nothing in these Terms limits or excludes our liability where it cannot be limited or excluded by law — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any mandatory consumer-protection rights you have.
15. Indemnity
If you are using the Service other than as a consumer, you agree to indemnify and hold us harmless from claims, damages, and reasonable expenses (including legal fees) arising out of your breach of these Terms, your misuse of the Service, or Your Content. This section does not apply to the extent you are acting as a consumer.
16. Apple App Store — additional terms
These terms apply when you obtain Notifind through the Apple App Store. You and we acknowledge that:
- These Terms are between you and us only, not with Apple, and Apple is not responsible for the app or its content.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation for the app, and any other claims are our responsibility, not Apple’s.
- Apple is not responsible for addressing any claims by you or a third party relating to the app, including product-liability, legal/regulatory, or consumer-protection claims.
- If a third party claims the app infringes their intellectual property, we, not Apple, are responsible for the investigation and defence of that claim.
- You represent that you are not located in a country subject to a U.S. Government embargo, or designated as “terrorist-supporting”, and that you are not on any U.S. Government restricted-parties list.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
- You must comply with any applicable third-party terms (for example, your wireless data-plan terms) when using the app.
17. Changes to these Terms
We may update these Terms from time to time. When we do, we will update the “last updated” date. If the changes are material, we will give you reasonable notice (for example, in the app or by email) before they take effect. Continuing to use the Service after the changes take effect means you accept the updated Terms. If you do not agree, you should stop using the Service and may delete your account.
18. Governing law and jurisdiction
These Terms are governed by the laws of the Czech Republic, without regard to conflict-of-law rules. The courts of the Czech Republic will have jurisdiction over any dispute.
If you are a consumer, this choice of law and jurisdiction does not deprive you of the protection of the mandatory laws of the country where you live, and you may also bring proceedings in the courts of your own country of residence where the law allows.
19. General
- Severability — if any provision is found unenforceable, the rest remain in effect.
- No waiver — our not enforcing a right is not a waiver of it.
- Assignment — you may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of the business, subject to your rights.
- Entire agreement — these Terms and the Privacy Policy are the entire agreement between you and us about the Service.
- Force majeure — we are not liable for delays or failures caused by events beyond our reasonable control.
